Article 1 – Preamble<\/h5>

These general terms and conditions of sale apply to all contracts entered into between, on the one hand, Smart World SRL, whose registered office is located at Rue Maes 1A, 1050 Brussels, registered with the Crossroads Bank for Enterprises under number 0444.534.073 (hereinafter referred to as
\u201cSmart Rooms\u201d or the \u201cService Provider\u201d) and, on the other hand, any professional wishing to purchase or rent a service offered via the online platform www.smartrooms.be (hereinafter referred to as the \u201cOccupant\u201d).<\/p>

Smart Rooms: The Smart Rooms operating unit is located at Rue Maes 1A, 1050 Ixelles. Email address: hello@smartrooms.be.<\/p>

The Occupant: any natural or legal person acting for professional purposes falling, wholly or partly, within the scope of their commercial activity, in particular in the wellness sector. The Occupant declares that they have full legal capacity.<\/p>

Smart Rooms and the Occupant have entered into discussions with a view to concluding a temporary rental agreement taking into account the specific circumstances set out below.<\/p>

The premises consist of making available one room among others located at Rue Maes 1A, 1050 Brussels, within the Smart Rooms space.
Each room is rented intermittently to different occupants. The Occupant expressly acknowledges that other users use the building and the services offered and accepts any resulting constraints.<\/p>

In this case, the Services are agreed in order to allow the Occupant to organise, under their sole and exclusive responsibility and for the duration chosen by the Occupant, their activity as a practitioner, coach or trainer in the wellness sector (hereinafter referred to as the \u201cActivity\u201d). Esoteric, mystical, sectarian or religious practices, as well as any act of prostitution, are refused.<\/p>

The Occupant formally declares and guarantees to Smart World SRL:<\/p>

– that the Occupant\u2019s activities are not prohibited by any applicable Belgian or foreign law and do not constitute an offence or crime punishable by law;
– that the Occupant acknowledges that Smart World SRL has no investigative or verification power regarding their activities and can therefore never be held liable for the consequences that may result from the client\u2019s activities, actions or conduct;
– that the Occupant hereby releases Smart World SRL from all liability and expressly authorises Smart World SRL to report the Occupant to the competent authorities if Smart World SRL has the slightest suspicion regarding the legality of the Occupant\u2019s activities, actions or conduct.<\/p>

ARTICLE 2 – Purpose<\/h5>

These terms and conditions of sale are intended to define the contractual relationship between the Service Provider and the Occupant, as well as the conditions applicable to any purchase made through the online platform www.smartrooms.be.<\/p>

These General Terms and Conditions apply to all services provided by Smart World SRL to professional occupants or wellness practitioners, regardless of any clauses that may appear on the Occupant\u2019s documents, including their general purchasing terms and conditions, and concern the following services: hourly rental of equipped consultation and treatment rooms and training spaces, namely the precarious provision of the premises hereinafter designated and forming part of the building located at Rue Maes 1A, 1050 Brussels.<\/p>

Registration as a \u201cmember\u201d via the online registration platform www.smartrooms.be (registration and purchase of rental hours) implies the Occupant\u2019s full and unconditional acceptance of these General Terms and Conditions. They shall prevail over any other specific terms not expressly approved by the Service Provider. In the event of any conflict between the Occupant\u2019s general terms and these terms, it is agreed that these terms shall prevail. Smart World SRL reserves the right to amend its terms of sale at any time. In such case, the applicable terms shall be those in force on the date of the order placed by the buyer.<\/p>

Any order presupposes the prior consultation and express acceptance of the General Terms and Conditions by the Occupant.<\/p>

An order placed on our online sales website is recorded when the Occupant clicks on the \u201cvalidate my order\u201d button. From that recording, the Occupant is deemed to have knowingly and unconditionally accepted the prices, volumes and quantities offered for sale, as well as all of these General Terms and Conditions. The Occupant receives confirmation of their order by email. The order is deemed accepted, and the contract concluded, only once the client receives an email from us accepting the order.<\/p>

ARTICLE 3 – Liability<\/h5>

The Occupant may not make any modification, transformation or repair, of any nature or extent, to the premises to which they have access in the context of the Activity without the prior written consent of Smart World SRL.<\/p>

In general, access to these premises, their occupation and the use of the infrastructure and services offered must be carried out with due care and in strict compliance with the applicable internal regulations, which the Occupant declares having read. These regulations include, in particular, rules of good conduct intended to organise cordial relations between the users of the premises, their operators and visitors. They also include rules concerning respect for equipment, spaces and rented hours.<\/p>

The Occupant undertakes to carry out only their professional activity there and to ensure the peace and quiet of the other Smart Rooms Occupants, as well as the good reputation of Smart Rooms.<\/p>

The Occupant shall ensure compliance with the regulations applicable to their activity and to Smart Rooms, including the provisions applicable under labour law. The Occupant shall carry out their activities under their own responsibility and may under no circumstances engage the liability of Smart Rooms. Smart World SRL reserves the right to terminate this agreement if it considers that the Occupant\u2019s activity presents any risk or abuse for Smart Rooms, its occupants or its visitors.<\/p>

The Service Provider\u2019s obligation is an obligation of means and shall not bind it as to any result. If the Service Provider is no longer able to provide the services ordered, it shall immediately inform the Occupant so that the Occupant may take all required measures.<\/p>

The Service Provider\u2019s commitment is limited to making an equipped space available. It is not responsible for the content addressed there and, as such, cannot in any way be held liable for any indirect damage such as a decrease in turnover, loss of profit or any increase in overheads resulting from the application of teachings or practices that may be provided there. Treatments provided in Smart Rooms spaces do not replace a medical consultation.
In any event, the Service Provider is not responsible for non-performance or improper performance of the contract attributable to the Occupant, resulting from an insurmountable and unforeseeable act of a third party to the contract or in cases of force majeure.<\/p>

To be admissible, any comment must be made in writing through our review system before the start of the Services.<\/p>

After use of the premises following the Activity, the next Occupant shall have the option to leave a review on the condition of the premises and of the infrastructure.<\/p>

Smart World SRL is liable only for its own acts. Smart Rooms may under no circumstances be held liable for any acts or conduct of the Occupant resulting in particular from their activity. Smart Rooms never acts as an employee or agent of the Occupant.<\/p>

The Occupant undertakes to hold Smart World SRL harmless from any harmful consequence resulting from their presence on its premises and\/or from their activities.<\/p>

The Service Provider does not guarantee the Occupant and disclaims all liability in the following cases:<\/p>

– theft, burglary, vandalism inside or outside the premises, any other unlawful acts and, more generally, any disturbances caused by third parties;
– interruption of services in the building\u2019s installations (water, electricity and any other services) caused either by the authorities, by the utility provider or by works;
– accidents, repairs and generally all other cases, including force majeure;
– accidents occurring in the rented premises;
– flooding of the rented premises by rainwater or other leaks;
– malfunction of the Exivio access system, loss or forgetting of the access code by the Occupant, loss of interior key sets.<\/p>

The Service Provider shall replace the lost lock and keys with an equivalent type, brand and quality at the Occupant\u2019s expense.<\/p>

Smart World SRL shall nevertheless endeavour to remedy the situation within the limits of the possibilities and availability of the trades called upon for repairs.<\/p>

The Occupant may not claim any compensatory indemnity in the event of unavailability of access to the room.<\/p>

The Occupant shall personally deal with any losses they may suffer in the above situations and generally in any other fortuitous events or force majeure cases, without prejudice to their own remedies against third parties; the Service Provider\u2019s liability may under no circumstances be engaged.<\/p>

The Service Provider undertakes to carry out, at its own expense and during the term of the lease, all compliance works, all fittings, installations and constructions, as well as all works that may be prescribed or may become prescribed during the lease by legislation or other regulations, in particular concerning hygiene and safety and environmental protection, having regard to the activity carried out by the Occupant, so that the Occupant is never troubled in this respect.<\/p>

The Service Provider undertakes to deliver the room to the Occupant in good repair and with the equipment mentioned on the website in good working order. The Service Provider must maintain the premises from a rental standpoint and carry out all necessary repairs as well as all major repairs, such as those relating to main walls, shopfronts, supporting walls and beams.<\/p>

All other repairs relating to equipment maintenance are covered within the framework of the furnished professional rental.<\/p>

The Service Provider shall insure against fire, flooding, vandalism and any other risk arising from its status as Service Provider.<\/p>

The Service Provider is under no circumstances responsible for the Occupants\u2019 clients.<\/p>

ARTICLE 4 – Training sessions, group coaching, conferences, etc.<\/h5>

The Occupant understands that Smart Rooms is a shared space and a place that hosts training sessions, initiation days and small-group coaching sessions for a maximum of around ten participants.<\/p>

The hours of use of the spaces are as follows: Monday to Sunday, 8:00 a.m. to 10:00 p.m.<\/p>

During these hours, Smart Rooms may rent its spaces to members for various temporary uses.<\/p>

ARTICLE 5 – Insurance<\/h5>

Smart World SRL holds insurance against the risks of fire, explosion and water damage for all equipment belonging to Smart World SRL (furniture, equipment, etc.) and made available by Smart Rooms to the Occupants.<\/p>

However, if the Occupant leaves their own equipment or other personal belongings on site in a rented locker or in any other place for the needs of their professional activities, they shall ensure that they insure such items themselves, Smart World SRL assuming no liability for such items.<\/p>

The parties to this service contract mutually waive any recourse they may be entitled to exercise against each other for any damage they may suffer due to unfortunate events such as fire, water damage, theft or accidents, without prejudice to recourse against the author of gross or intentional misconduct.
Smart World SRL undertakes to take out comprehensive insurance including fire insurance, water damage insurance and storm damage insurance for all equipment and furniture belonging to Smart Rooms, as well as waiver-of-recourse insurance including the Occupant. If the Occupant is at fault for damage, the insurance shall not seek recourse against them. The waiver of recourse referred to above has no effect in the event of intentional misconduct.<\/p>

The Occupant declares that they waive any recourse against Smart World SRL for any loss and any material or non-material damage due to the use of the premises made available to them, as well as the various services to be provided under these General Terms and Conditions.<\/p>

Article 6 – Terms of performance<\/h5>

These General Terms and Conditions concern the premises known as Smart Rooms located in the building at Rue Maes 1A, 1050 Brussels.
They consist of two spaces to be chosen among the existing spaces, with respective surface areas of 12 sq. m. and 15 sq. m., or 27 sq. m. when combined. The Occupant, practitioner or trainer chooses\/rents one of the rooms according to their needs and practice.<\/p>

Access to the booking platform makes it possible to view and select, on the online agenda of the rooms, the days and times available for their practice.
The Occupant may specify the chosen room, the day or days, the duration and the frequency of occupation. The instructions for how Smart Rooms operates are automatically sent by email upon receipt of payment.<\/p>

The Occupant may, in the premises made available by Smart World SRL, carry out any commercial activity as described in Article 1, except any dangerous, unhealthy, polluting activity, any activity contrary to public order or morality, any illegal activity, or any activity likely to cause any nuisance to Smart Rooms and\/or its other occupants.<\/p>

If a serious nuisance were to arise during the rental period, Smart World SRL would request the Occupant, by registered letter or email, to end such nuisance immediately. If the Occupant refuses or fails to respond within one (1) month, Smart World SRL has the right to terminate the contract with immediate effect.<\/p>

In addition, Smart World SRL reserves the right to claim damages resulting from such nuisance. Under no circumstances may the Occupant sublet the allocated area forming the subject of this contract.<\/p>

The agreement concluded between the Occupant and Smart World SRL may not be assigned by the Occupant to a third party without the express, prior and written consent of Smart World SRL. Likewise, the premises made available to the Occupant may under no circumstances be rented or made available to a third party.<\/p>

After each order placed on the website, the Occupant receives by email the instructions for access to and operation of the spaces. The Occupant has no right of oversight over the recruitment of Smart Rooms practitioners or over the other Occupants, including those concerning the room that they occupy intermittently.<\/p>

The Occupant undertakes to strictly comply with the time allocated to them. Access hours for the Smart Rooms consultation rooms are from 8:00 a.m. to 10:00 p.m. (end time of the last consultation), Monday to Sunday.<\/p>

The Occupant must personally occupy the rented premises. Any occupation by a third party, as well as any subletting, is prohibited and may result in termination of the contract, unless expressly agreed by the Service Provider.<\/p>

The Occupant undertakes not to transform the rented premises and equipment without the Service Provider\u2019s consent. The Service Provider may require the premises to be restored to their original condition or may keep the transformations carried out, without the Occupant being entitled to claim compensation for the costs incurred. The Service Provider may require, at the Occupant\u2019s expense, the immediate restoration of the premises when the transformations jeopardise the proper functioning of the equipment or the safety of the premises or of third parties.<\/p>

The Occupant undertakes not to register their offices at Smart Rooms without the Service Provider\u2019s consent.<\/p>

It is expressly recalled that this rental is a furnished professional rental limited in time and duration. Upon its expiry, the Occupant may not invoke the rights and benefits arising from commercial property rights, the parties voluntarily excluding the benefit of a commercial lease regime due to the precarious nature of this occupation.<\/p>

Indeed, as this occupation excludes any form of continuous rental, the Service Provider reserves the right to rent the property to whomever it sees fit outside the periods during which it is contractually occupied by the Occupant, which the Occupant expressly accepts.<\/p>

Acceptance of these terms is given and accepted for each online room booking. The Occupant undertakes to use a minimum quota of hours that they shall determine according to their needs. They may purchase a quota of hours that they undertake to use within 3 months, subject to room availability. Unused hours are lost.<\/p>

Any overrun shall result in additional invoicing on the principle that every quarter-hour started is due.<\/p>

The Occupant shall automatically receive an invoice by email and, for VAT-taxable persons, it shall automatically be transmitted to Peppol.<\/p>

In the event of a lack of transparency and quality in their services, the Service Provider is exposed to immediate termination of their contract and access to the premises. The Occupant shall ensure, at the end of their rental and at the end of use of the premises, that they take back the equipment brought by them or store it in the locker rented for that purpose, and that they return the equipment belonging to the room to its original location. A plan showing the location of the equipment is displayed in each room.<\/p>

The Occupant shall ensure that the premises are kept clean. Any waste or object left by the Occupant or their patient\/client after the Service Provider\u2019s departure shall be handled by the Smart Rooms cleaning team and invoiced accordingly.<\/p>

The Occupant shall protect floors and rugs in order to avoid stains from oil, cream, candles, etc. The Occupant shall be held liable for all damage caused. If the Occupant wishes to replace a broken or stained item, this work shall be carried out by the Service Provider at the Occupant\u2019s expense.
Before leaving, the Occupant shall clean\/disinfect their workspace as well as all objects touched during the Activity; disinfectant is made available.<\/p>

The Occupant shall make normal use of the supplies made available and shall not take them away or use them outside the premises.<\/p>

The Occupant undertakes to allow visits, in the event of sale, to the rented premises for two hours per day on working days.<\/p>

For its part, the Service Provider is bound by the following main obligations: to ensure peaceful enjoyment of the premises and to guarantee the tenant against defects and flaws preventing their use, even if it was unaware of them at the time the agreement was concluded.<\/p>

Article 7 – Services and prices<\/h5>

The services offered for sale are those appearing on the website, with a description of their essential characteristics on the day and at the time the Occupant consults the website, and subject to availability. The Service Provider shall use all reasonable means to display the availability of services in real time on the website, but cannot be held liable if a service is no longer available to honour the order. If one of the ordered services is unavailable, the Occupant shall be informed and shall have the option either to modify their order or to cancel it.<\/p>

The price of each product is displayed on the website in euros and inclusive of VAT. This price does not include the deduction of any discount or voucher granted to the Occupant. The Service Provider reserves the right to change its prices at any time, but the products\/services shall be invoiced on the basis of the purchase price in force at the time of the order.<\/p>

The total amount of the Occupant\u2019s order, as displayed on the online registration platform www.smartrooms.be before final validation, is indicated in euros, inclusive of all taxes and other costs.<\/p>

Ancillary services on request:<\/p>

– Rental of a small locker: EUR 15 incl. VAT\/month
– Rental of a large locker: EUR 25 incl. VAT\/month
– Rental of an additional folding treatment table: EUR 15 incl. VAT\/table<\/p>

For information, the prices for renting a consultation room are:<\/p>

– Hourly rental: EUR 18\/hour incl. VAT
– Purchase of a 10-hour pack valid for 3 months: EUR 160 incl. VAT
– Purchase of a 20-hour pack valid for 3 months: EUR 300 incl. VAT<\/p>

Article 8 – Orders<\/h5>

The Occupant wishing to rent a workspace and other services via the online registration platform www.smartrooms.be must necessarily:
acknowledge having read and accepted these General Terms and Conditions;<\/p>

– validate their order after checking it; and
– make payment under the conditions provided.<\/p>

The Service Provider cannot be held liable for the consequences of the communication of incorrect information.<\/p>

The sale is deemed final upon confirmation of acceptance of the Occupant\u2019s order by the Service Provider, sent after receipt of the price under the conditions set out in Article 7 of these General Terms and Conditions. A first message confirming receipt of a request to register on the platform offered by the Service Provider is sent by email to the address provided by the buyer at the time of their online order. Reservations\/orders by telephone are not accepted.<\/p>

The Service Provider reserves the right to refuse or cancel any order in the event of an existing dispute with the Occupant, total or partial non-payment of a previous order, refusal of credit card payment authorisation by banking institutions, or any other valid reason. In such case, the Service Provider\u2019s liability may under no circumstances be engaged.<\/p>

Article 9 – Payment terms<\/h5>

Payment for purchases is made by Maestro, bank transfer or Visa or Mastercard credit card via the www.smartrooms.be platform. Any absence of payment or partial payment shall be understood as cancellation of the order by the buyer.<\/p>

A paid invoice, or an equivalent document, is automatically generated and sent by email to the Occupant after receipt of full payment and sent to Peppol for VAT-taxable persons, provided that the VAT number has been correctly entered in the contact form.<\/p>

Article 10 – Cancellation<\/h5>

Provided that it takes place at least seventy-two (72) hours before the start time of access to the premises, the Occupant is granted, as a commercial gesture, the right to cancel their booking without giving reasons. The Occupant may then use their rental hours on another day, subject to availability and compliance with the validity period of three (3) months from the date of purchase of the hours.<\/p>

In the event of unilateral cancellation by the Occupant less than seventy-two (72) hours before the start time of access to the premises, no termination indemnity is due, but any amounts already received may not be refunded.<\/p>

In the event of the Occupant\u2019s absence at the time of their booking, whatever the cause, including force majeure, the amounts received may not be refunded.<\/p>

In the event of impossibility of access to the premises for technical reasons attributable to the Service Provider, the Service Provider undertakes to postpone the booking hours free of charge. No compensatory indemnity may be claimed.<\/p>

Article 11 – Safety<\/h5>

The Occupant, their patients\/clients and any person for whom they are responsible may not obstruct common areas and circulation routes, pavements and other areas, which must remain accessible at all times.<\/p>

Likewise, they may not obstruct free access to emergency exits or fire safety installations.<\/p>

If objects or goods obstruct or prevent passage, Smart World SRL shall have the right to move them at the expense and risk of the Occupant to whom they belong or for whom they are intended.<\/p>

Article 12 – Taxes and duties<\/h5>

All taxes, duties, contributions or charges of any kind, whether public or private, including SABAM and neighbouring rights, due as a result of this agreement or of the manner in which the premises are occupied, are and shall remain entirely and exclusively payable by the Occupant, with Smart World SRL being discharged from them.<\/p>

Any Occupant wishing to use music for their activity must pay the relevant fee to SABAM or another copyright management company, as Smart Rooms does not cover this expense.<\/p>

Article 13 – Internal Regulations<\/h5>

Smart Rooms has internal regulations specifying the terms for making available and using the services, equipment, spaces and common areas. These regulations form an integral part of the General Terms and Conditions. By agreeing to these General Terms and Conditions, the Occupant acknowledges having read them and undertakes to comply with them, notwithstanding any subsequent amendments Smart World SRL may make to them.<\/p>

Article 14 – Internet access<\/h5>

Users may access the internet via Wi-Fi in the spaces. It is strictly prohibited to download music, films or any material governed by copyright law. Any proceedings shall be brought against the Occupant concerned, who shall bear responsibility for them.<\/p>

Article 15 – Intellectual property<\/h5>

The Smart Rooms service is protected by intellectual property rights. All such intellectual property rights, as well as derivative rights and similar rights, belong exclusively to Smart World SRL. These rights include, among others: copyright, trademark rights, rights in computer programs, design rights, technical or commercial know-how, whether patentable or not, methods and concepts. Use of the service does not in any way imply the transfer of these intellectual property rights to the Occupant. The Occupant undertakes not to use and\/or modify the intellectual property rights described in this article without the prior authorisation of the rights holders.<\/p>

The content of the website, including the underlying technology, may be protected by copyright, trademark law or another intellectual property right. The Service Provider authorises the Occupant to place on their own website a simple link directly to the Service Provider\u2019s website. However, any hyperlink to the website using framing, in-line linking or deep linking techniques is prohibited. In all cases, any link must be removed upon the seller\u2019s simple request.<\/p>

By registering for a training session or event offered via the online registration platform www.smartrooms.be, the Occupant authorises Smart World SRL, free of charge and without geographical restriction, to use photographs and\/or audiovisual material recording their image that may have been taken or recorded during the training session or event, as part of its commercial policy and promotion of its activities. In return, Smart World SRL undertakes to respect the integrity and dignity of the Occupant whose image will be reproduced or disseminated. The Occupant may withdraw their consent at any time.<\/p>

Article 15 – End of occupation<\/h5>

At the end of the occupation, whatever the cause, the Occupant must leave the premises on the effective date and at the effective time of either the notice or the early termination.<\/p>

If the Occupant refuses to leave the premises at the end of the occupation, they may be compelled to do so by a simple order of the competent Justice of the Peace of Ixelles and shall owe an indemnity set at twice the occupation indemnity defined above.<\/p>

Any breach of the obligations provided under these General Terms and Conditions, or any false statement regarding the activity carried out by the Occupant, may result in automatic termination of the services immediately after the sending of a registered letter notifying the termination without notice or compensation.<\/p>

The Occupant must immediately vacate the premises.<\/p>

The services provided by Smart World SRL shall be immediately suspended without prior notice of default.<\/p>

In addition, the Occupant shall bear all costs, disbursements and expenses resulting from such termination.<\/p>

Article 16 – General provisions<\/h5>

The explanatory words or phrases appearing in the headings of the various articles are inserted solely to facilitate the reading of these General Terms and Conditions. They do not form part of the contract and in no way define, limit or describe the scope or content of the article to which they relate. The Service Provider reserves the right to amend the General Terms and Conditions and shall communicate the new version to the Occupant via the website.

The invalidity of one clause shall under no circumstances result in the invalidity of the other clauses or of these General Terms and Conditions as a whole.<\/p>

Article 17 – Applicable law and competent courts<\/h5>

The parties undertake to attempt to resolve, by means of out-of-court settlement, mediation or judicial conciliation, any dispute relating to the validity, interpretation or performance of the contract.<\/p>

If the alternative dispute resolution procedure put in place fails, only the courts of the judicial district of Brussels, Belgium, shall have jurisdiction.
